Equipment Sale Terms and Conditions December 2025

Equipment Condition

The Equipment is sold in the condition described in the sales agreement. Any refurbishment, inspection, testing, or preparation is included only if it is specifically stated in writing in the sales agreement.

Buyer confirms they are relying only on what is written in the sales agreement, and not on any other statements or assumptions.


Warranty

Any warranty that applies to the Equipment will be only what is written in the sales agreement. If a warranty is provided, it is limited to the time period, coverage, and remedies described there.

The remedies stated in the sales agreement are the only remedies available for any warranty or Equipment-related issue.

Other than any express warranty stated in the sales agreement, no additional warranties apply.


Installation and Use

Installation is provided only if it is included in the sales agreement. After installation (if any) and handover, Buyer is responsible for the operation, maintenance, and use of the Equipment.

Seller is not responsible for site conditions, utilities, foundations, or any third-party equipment not supplied by Seller.

Buyer is responsible for operating the Equipment safely and in accordance with applicable laws, regulations, and site requirements.


Liability

Seller is not responsible for indirect or consequential losses, including loss of production, loss of profit, downtime, or similar business impacts, even if such losses were foreseeable.

Seller does not guarantee production rates, product quality outcomes, or business results from use of the Equipment.

Seller’s total responsibility for any claim related to the Equipment or this agreement is limited to the purchase price paid for the Equipment.


Indemnity

Buyer agrees to protect and hold Seller harmless from claims, losses, or costs arising from Buyer’s operation or use of the Equipment, except where caused by Seller’s failure to meet obligations specifically agreed in the sales agreement.


Claims

If an issue arises, Buyer must notify Seller in writing within a reasonable time after it is discovered.


Risk and Ownership

Risk of loss or damage passes to Buyer once the Equipment is delivered to Buyer or Buyer’s carrier.

Ownership of the Equipment passes to Buyer once full payment has been received.


Commercial Use

The Equipment is sold for commercial use in Buyer’s business.


In the event of any inconsistency, the sales agreement shall control.
