Terms and Conditions

1.    Term

From the start date until completion of the scope of work. Proposal is valid for acceptance for 21 days from the document date.

2.    Limitation of Liability

GSD Innovation LLC, “GSD” shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the services or advice provided, including but not limited to:  

• Loss of profits, revenue, or business
• Loss or damage to property
• Personal injury or death
• Any errors or omissions in the services or advice
• Any reliance placed on the services or advice

The Client agrees to indemnify and hold harmless GSD from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with the services or advice provided, the Client's use of the services or advice, or the Client's breach of this agreement.   This limitation of liability shall apply to the fullest extent permitted by law.

3.    Warranties

GSD shall provide its services and meet its obligations under this Agreement in a timely and workmanlike manner, using knowledge and recommendations for performing the services which meet generally acceptable standards in The Client's community and region, and will provide a standard of care equal to, or superior to, care used by providers similar to GSD on similar projects.

GSD shall in no event be liable for any incidental, special, or consequential damages of any nature, even if The Client has been advised of the possibility of such damages.

4.    Confidentiality

GSD, and its employees, agents, or representatives will not at any time or in any manner, either directly or indirectly, use for the benefit of GSD, or divulge, disclose, or communicate in any manner, any information that is proprietary to The Client. GSD and its employees, agents, and representatives will protect such information and treat it as strictly confidential. This provision will continue to be effective after the termination of this Agreement.
