Sorter Rental Conditions

Warranties

Provider's sole liability under this warranty shall be limited to repairing or replacing, at Provider's option, any defective Equipment.

Limitation of Liability

In no event shall seller be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this agreement or the equipment, whether in contract, tort, or otherwise, even if seller has been advised of the possibility of such damages.  

Provider's total liability to Client for any and all claims arising out of or related to this agreement or the equipment shall be limited to the agreement value.  

Indemnification

Client agrees to indemnify and hold Provider harmless from and against any and all claims, losses, damages, liabilities, costs and expenses (including attorneys' fees) arising out of or related to Client's use of the Equipment, except to the extent such claims, losses, damages, liabilities, costs and expenses are caused by Provider's breach of this Agreement.

Transfer

Risk of loss or damage to the Equipment shall pass to Client while in the Client’s facilities.

Ownership & Return

All equipment remains the property of GSD.

At the end of the season:

·       Equipment will be made available in a clean state for pickup in good working condition (normal wear and tear accepted)

·       Any significant damage beyond normal wear may be repaired at Customer’s cost.
